Terms of Service

1. Acceptance of Terms

StatusQ Inc. ("we," "our," or "us") operates the StatusQ mobile application and website (collectively, the "Service"). By downloading, accessing, or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use StatusQ. By creating an account, you represent and warrant that: (a) you are at least 18 years old; (b) the information you provide during registration is accurate, current, and complete; (c) you will maintain the accuracy of such information; and (d) you will only create and maintain one account per person. We reserve the right to verify your age and may terminate accounts that do not meet this requirement.

3. Account Registration & Security

To use StatusQ, you must create an account using Sign in with Apple, Sign in with Google, or your phone number via one-time passcode (OTP) verification. You are responsible for maintaining the security of your account and for all activity that occurs under it. You agree to notify us immediately of any unauthorized use of your account. StatusQ is not liable for any loss resulting from unauthorized access to your account. By providing your phone number, you consent to receive calls and text messages from StatusQ, including via automated systems, in connection with your account and our services. If you opt in to SMS marketing, this includes promotional messages. Standard message and data rates may apply.

4. Subscriptions & Payments

  • Subscription required: Access to StatusQ's dinner matching and event services requires an active subscription. Subscription plans are available in 1-month, 3-month, and 12-month durations.
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date through Stripe's Customer Portal (accessible from your profile settings).
  • Payment processing: All payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service. StatusQ does not store your payment card information.
  • Restaurant costs: Subscription fees cover access to StatusQ's matching and event coordination services. The cost of your meal at the restaurant is separate and paid directly by you at the venue.
  • Refunds: Subscription fees are generally non-refundable. We may issue refunds at our sole discretion in cases of billing errors or service disruptions.

5. Booking & Cancellation Policy

  • Booking: When you book a dinner, we reserve a seat at a curated restaurant and include you in our matching algorithm for that event.
  • Cancellation window: You may cancel a booked dinner up to 48 hours before the event start time at no penalty. Cancellations within 48 hours of the event are not permitted, as we have already confirmed your reservation and matched your group.
  • No-shows: Failing to attend a booked dinner without canceling ("no-show") may result in a warning or, for repeat offenses, account suspension. No-shows negatively affect the experience of the other five guests who were matched with you.
  • Event changes: We reserve the right to modify event details (restaurant, time, or location) or cancel events due to circumstances beyond our control. In such cases, you will be notified and may receive a credit or rescheduling option.

6. User Conduct & Community Guidelines

StatusQ is a platform for building genuine connections. When using the Service, you agree to:

  • Treat all users with respect and kindness during dinners, in-app messaging, and group chats
  • Provide truthful and accurate profile information
  • Not harass, bully, threaten, or intimidate other users
  • Not use StatusQ for solicitation, commercial promotion, or advertising
  • Not impersonate another person or create fake profiles
  • Not use the Service for any illegal purpose
  • Not share personal contact information of other users without their consent
  • Not attend events under the influence of substances that impair your ability to participate respectfully

Violation of these guidelines may result in warnings, temporary suspension, or permanent account termination at our sole discretion.

7. Content & Intellectual Property

  • Your content: You retain ownership of content you submit (profile photos, messages, quiz responses). By submitting content, you grant StatusQ a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely in connection with operating the Service (e.g., showing your profile photo to dinner group members).
  • StatusQ's IP: The StatusQ name, logo, FLOW personality type system, matching algorithm, design, and all associated intellectual property are owned by StatusQ. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.
  • Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by StatusQ without obligation or compensation to you.

8. Image & Likeness

StatusQ may photograph or film dinner events for editorial, social media, and promotional purposes. By attending a StatusQ event, you grant StatusQ Inc. a non-exclusive, royalty-free license to use your name, image, likeness, and voice as captured at events for promotional and marketing purposes during the term of your subscription and for up to three (3) years thereafter. If you do not wish to be photographed or filmed at an event, please notify the StatusQ representative present at the event or contact us at help@statusq.tech before the event.

9. Matching & Events

StatusQ uses a proprietary personality-based matching algorithm to group six compatible strangers for dinner. We do not guarantee compatibility, friendship, or any particular outcome from attending events. Restaurant selection is made by StatusQ based on availability, cuisine variety, and location; we do not guarantee the quality of food or service at any venue. Event details (restaurant name, address, group members) are revealed shortly before the event ("Event Reveal"). Dietary restrictions and cuisine preferences submitted during onboarding are used as inputs to our restaurant selection process but cannot be guaranteed, and we are not responsible for allergen cross-contamination or menu availability at any venue.

10. Connections & Messaging

After attending a dinner, you may connect with other guests via the Connections feature. Group chat is available within a time window around the event (starting 10 minutes before and closing 2 hours after the event start). Direct messaging is available between mutually connected users. You agree to use messaging features respectfully and in accordance with our Community Guidelines. We reserve the right to monitor and moderate messages for safety purposes.

11. Moderation & Enforcement

  • Reporting: Users may report inappropriate behavior through the app. We review all reports and take action as appropriate.
  • Enforcement: Violations may result in warnings, temporary suspension, or permanent account termination depending on severity and frequency.
  • Account termination: We reserve the right to suspend or terminate your account at any time for violations of these Terms or for any reason at our sole discretion, with or without notice.
  • Effect of termination: Upon termination, your right to use the Service ceases immediately. We are not obligated to refund any subscription fees upon termination for cause.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

StatusQ is not responsible for: (a) the conduct of any user before, during, or after a dinner event; (b) the quality, safety, or legality of any restaurant or venue; (c) any personal injury, property damage, or other harm arising from your use of the Service or attendance at events; or (d) any content posted by users.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STATUSQ'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STATUSQ IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless StatusQ Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) your conduct at any StatusQ dinner event.

14. Dispute Resolution

  • Governing law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Arbitration is governed by the Federal Arbitration Act.
  • Informal resolution: Before filing any formal dispute, you agree to contact us at help@statusq.tech and attempt to resolve the dispute informally for at least 30 days.
  • Arbitration: Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You may opt out of arbitration by notifying us in writing within 30 days of first accepting these Terms.
  • Class action waiver: You agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app (via push notification or in-app notice) and update the "Last updated" date at the top of this page. Your continued use of StatusQ after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and delete your account.
